Worked Examples

Example 1: A Close Corporation

Financial year ends December 31.

Deadline to file CC7: January 31.

Pays N$120 as duty. If late, penalty fees apply.

Must submit updated Beneficial Ownership form BO1 with return.

Example 2: A Private Company (“Pty Ltd”)

  • Financial Year-end: June 30.
  • File CM23 within one month— grace period: July 31.
  • Pays annual duty N$130, plus submission fee N$160.
  • Late submission attracts N$300 fee and additional penalties.
  • Updated BO1 form must accompany submission.

Example 3: Section21 NGO

  • Year-end: March 31.
  • Submit CM23 by April 30.
  • No duty payable, but the N$160 filing fee applies (rising to N$300 if late).
  • Excellent standing certificate only if BO1 form is also submitted.
